Traders In Purple Ambassador Club Program Terms and Conditions 

1. Ambassador Club Benefits
1.1. Under Traders In Purple Ambassador Club Program (Ambassador Club), Ambassador Club members may be eligible for various benefits including:

   1.1.1. Priority Notification

   1.1.2. Purchase Rewards

   1.1.3. Referral Rewards

2. Ambassador Club Eligibility
2.1. Any company or individual over the age of 18 is eligible to become an Ambassador Club member if:

   2.1.1. they are named as a purchaser under a Sales Contract for any existing or future Traders In Purple Eligible Project (refer to the list of eligible projects at bottom of Terms & Conditions), whether purchasing solely or jointly; and

   2.1.2. they have entered into the Sales Contract directly with Traders In Purple without intervention or referral through an external agent, resale or other referral party (eligible Sales Contract).

2.2. There is no fee payable to become or remain an Ambassador Club member.

2.3. Ambassador Club benefits commence upon your eligible Sales Contract becoming unconditional.

2.4. Where the named purchaser on the Sales Contract is a company, the company may nominate up to two individuals to be Ambassador Club members. Those individuals must be either current shareholders or directors of the company and must not have been nominated previously or be an existing Ambassador Club member. This nomination is to be made in writing at the time of entering into the Sales Contract.

2.5. By registering for, claiming or accepting a Benefit under the Ambassador Club, the member agrees to be bound by these Terms and Conditions, as amended from time to time in accordance with clause 12.

3. Ambassador Club Benefits
3.1. Ambassador Club members are entitled to receive a discount for all subsequent eligible Sales Contracts that are entered into in accordance with this section 3.

3.2. The following parties are, when purchasing under an eligible Sales Contract, entitled to a repeat purchase reward as follows:

   3.2.1. Ambassador Club members are entitled to a two percent (2%) discount off the list price of all subsequent purchases; and

   3.2.2. Immediate Family Members of the Ambassador Club member are entitled to a one percent (1%) discount off the list price of their first purchase. Immediate Family is defined as an Ambassador Club member’s spouse, parents, siblings, grandparents, children and grandchildren. After their first purchase, an Immediate Family Member may be eligible to become an Ambassador Club Member.

3.3. The discount applies to any eligible Sale Contract entered into after the date the Ambassador Club membership commenced.

3.4. The list price refers to the list price of the apartment at the date of entry into the relevant eligible Sale Contract.

3.6. The repeat purchase award discount is paid by way of a reduction to the purchase price with the reduced price entered into the eligible Sales Contract.

4. Referral Rewards
4.1. Ambassador Club members are entitled to receive a referral reward of a $2,000 gift card when they introduce a new buyer to Traders In Purple in accordance with this section.

4.2. The gift card is subject to its own terms and conditions, is not redeemable for cash, and will not be replaced if lost or stolen.

4.3. Each of the following conditions must be satisfied for an Ambassador Club member to be entitled to a referral reward:

   4.3.1. the referring Ambassador Club member (Referrer) must:

          4.3.1.1. have entered into an eligible unconditional Sales Contract with Traders In Purple and not be in breach of the Sales Contract;

          4.3.1.2. complete the Referral Form on or before the eligible Sales Contract is signed by the referred purchaser; and

          4.3.1.3. not otherwise be excluded under section 4.8; and

   4.3.2. the referred purchaser (Referred Purchaser) must:

          4.3.2.1. be an individual or company;

          4.3.2.2. on or before entering into the relevant Sales Contract, nominate or confirm to Traders In Purple that the Referrer was their referrer;

          4.3.2.3. enter into a Sales Contract; and

          4.3.2.4. satisfy any conditions for the benefit of the purchaser in the Sales Contract on or before the relevant due date;

   4.3.3. and must not be:

          4.3.3.1. an existing Ambassador Club member; or

          4.3.3.2. already recorded in Traders In Purple’s CRM system as a prospective purchaser before the referral was submitted; or

          4.3.3.3. an Immediate Family Member related to the Ambassador Club member who is receiving the repeat purchase reward.

4.4. Only one referral reward is payable on each eligible Sales Contract, regardless of the number of parties nominated as the “buyer” on the Sales Contract.

4.5. There is no cap on the amount, or number of, referral rewards that an Ambassador Club member may be paid for referring new purchasers to Traders In Purple. However, the referral reward is only available on the first Sales Contract entered into by a Referred Purchaser and not on any subsequent purchases by that Referred Purchaser.

4.6. The referral reward will be given to the Referrer within 20 Business Days of the Referred Purchaser’s Sales Contract becoming fully unconditional, any cooling off period has expired and the total deposit paid in accordance with the terms of the Sales Contract. If the Referrer is a company, the referral reward will be given to one person that the authorised representative as nominated in writing by the Referrer to Traders In Purple.

4.7. The referral reward may include a different gift card or other payment method determined by Traders In Purple in its discretion.

4.8. Despite any other term or condition, no referral reward is payable:

    4.8.1. to an agent or referral party engaged by Traders In Purple or their associates

    4.8.2. for which a Referred Party is entitled to a sales commission or other similar payment.

4.9. On becoming an Ambassador Club member, unless the Ambassador Club member has unsubscribed from receiving these notifications or access, members may receive:

    4.9.1. notification of any upcoming stage releases or an Eligible Project or other projects by Traders In Purple; and

    4.9.2. access to purchase Traders In Purple properties, prior to release to the general public.

5. Termination and breach of Sales Contract
5.1. If:

   5.1.1. an eligible Sales Contract is terminated, rescinded or otherwise brought to an end before settlement for any reason;

   5.1.2. the Ambassador Club member breaches or defaults under an eligible Sales Contract; or

   5.1.3. the Ambassador Club member is no longer the purchaser under an eligible Sales Contract (including through nomination or assignment), then the Ambassador Club member will no longer be an Ambassador Club member for the purposes of that Sales Contract and cannot rely on it for the purpose of receiving Benefits as an Ambassador Club member.

6. Nomination or assignment
6.1. Other than as set out below, membership to the Ambassador Club is personal to the named Ambassador Club member and cannot be assigned, nominated, sold or transferred without the prior written consent of Traders In Purple, in its absolute discretion.

6.2. The original purchaser (and any Ambassador Club member seeking to rely on that contract) must notify Traders In Purple in writing within 10 Business Days of entering into any documentation to effect a nomination or assignment of the eligible Sales Contract. In the case of nomination or assignment, the new purchaser may rely on this contract for its eligibility for Benefits, subject to the new purchaser and the Sales Contract satisfying these terms and conditions.

7. Additional Benefits
7.1. Traders In Purple may, in its discretion, notify Ambassador Club members from time to time of additional Benefits offered to Ambassador Club members by Traders In Purple or third parties.

7.2. Each Benefit may have specific terms and conditions applicable, including a limited period or availability for that Benefit.

8. Privacy
8.1. Traders In Purple collects, uses and discloses personal information about Ambassador Club members for the operation of the Ambassador Club and for direct marketing communications. The types of personal information we may collect and hold include name, address, date of birth, age, language preferences and nationality, contact details like phone numbers and email addresses, as well as electronic information from your use of our website (including from cookies and tracking pixels which may involve disclosure to third parties). If you provide us with personal information about other individuals, please make sure you have their consent to do so. We may also collect and hold other personal information about individuals as prospective purchasers or purchasers of our property developments as described in our privacy policy.

8.2. An Ambassador Club member agrees to provide Traders In Purple with personal information in order to participate in Ambassador Club, and to keep that information up to date. If an Ambassador Club member does not provide or update the personal information required by Traders In Purple, the Ambassador Club member acknowledges that it may not be able to participate as an Ambassador Club member or receive certain Benefits under the Ambassador Club program.

8.3. Traders In Purple may send electronic communications and other forms of direct marketing to the Ambassador Club member regarding third party offers, products and services available as part of Ambassador Club, and information about our property developments that we consider may be interest of you. Ambassador Club members can unsubscribe from direct marketing by contacting Traders In Purple using the contact details provided in our privacy policy and from direct marketing electronic communications by using the unsubscribe functionality in these communications.

8.4. For more information on how Traders In Purple collects, uses and discloses personal information please review our privacy policy available at https://tradersinpurple.com/privacy-policy/. This privacy policy also provides information about how you may access your personal information, seek correction of your personal information and make complaints if you think we have breached any privacy laws and how we deal with such complaints.

9. Cancellation
9.1. An Ambassador Club member may cancel its membership at any time by sending an email request to ambassadorclub@tradersinpurple.com

10. General Terms and Conditions
10.1. Ambassador Club members must not:

   10.1.1. act in any way that breaches these terms and conditions;

   10.1.2. abuse or misuse the Ambassador Club program;

   10.1.3. supply or attempt to supply false or misleading information or make a false representation to Traders In Purple;

   10.1.4. sell, assign or transfer, or offer to sell, assign, or transfer, the Ambassador Club member’s membership in Ambassador Club or any Benefit; or

   10.1.5. seek to obtain any commercial benefit from the Ambassador Club program.

11. Ambassador Club Membership
11.1. Traders In Purple may refuse, suspend or terminate membership, or refuse, cancel or reverse Benefits, where it reasonably believes that:

   11.1.1. the member has breached these Terms;

   11.1.2. the member has engaged in fraudulent, misleading or abusive conduct;

   11.1.3. Benefits were awarded in error;

   11.1.4. the referral does not satisfy the eligibility requirements; or

   11.1.5. such action is reasonably necessary to protect the integrity, security or proper operation of the Ambassador Club.

11.2. Traders In Purple will act reasonably in exercising its rights under this clause and may provide notice where reasonably practicable.

12. Variations to Ambassador Club Terms & Conditions
12.1. Traders In Purple may amend, suspend or discontinue the Ambassador Club where reasonably necessary for operational, legal, commercial or administrative reasons.

12.2. Traders In Purple will provide reasonable notice of material changes where practicable.

12.3. Any amendment will apply prospectively and will not affect Benefits validly earned before the effective date of the amendment, except where:

   12.3.1. benefits were awarded in error;

   12.3.2. fraud or misconduct has occurred; or

   12.3.3. the member has breached these Terms.

12.4. Traders In Purple may add, remove or substitute Eligible Projects from time to time.

13. Liability
13.1. To the maximum extent permitted by law, Traders In Purple is not liable for any cost, loss or damage incurred in connection with:

   13.1.1. any withdrawal, cancellation, variation or change to these terms and conditions;

   13.1.2. any breach of these terms and conditions; or

   13.1.3. providing, or not providing, in circumstances beyond Traders In Purple’s reasonable control, any Benefit.

13.2. Traders In Purple’s decision on all matters relating to Ambassador Club, including any dispute as to the identity of an Ambassador Club member or entitlement to any Benefit, will be final in the absence of manifest error.

14. GST and Tax
14.1. The amount of any Benefit specified in these terms and conditions (including if specified by way of a percentage of another amount or otherwise) includes the amount of any GST or similar value added tax (if any) payable or arising on or in relation to the benefit.

14.2. If providing any Benefit is the consideration for a taxable supply for GST purposes, the relevant Ambassador Club member must deliver a tax invoice, or an adjustment note to the Traders In Purple entity who is the recipient of the taxable supply before the Ambassador Club member is entitled to payment of any amount in relation to any Benefit.

14.3. Any tax, liability or duty in relation to any Benefit provided to an Ambassador Club member will be the sole responsibility of the Ambassador Club member. Ambassador Club Members should contact their accountant or taxation advisor if they have any queries relating to the tax implications of Ambassador Club.

15. Governing law
15.1. These terms and conditions are governed by the laws of New South Wales. Any person relying on, or seeking to enforce, these terms and conditions submits to the nonexclusive jurisdiction of the courts of New South Wales and any courts competent to hear appeals from those courts.

16. Severability
16.1. If any provision of these terms and conditions is unenforceable or invalid, it must be read down so as to be enforceable and valid. If this is not possible, the provision may be severed without affecting the enforceability or validity of the remaining provisions.
